These Terms of Sale & Licence (“Terms”) govern the download and use of the Vouchiva plugin for WordPress and the purchase of Vouchiva paid plans. By downloading, activating or buying Vouchiva you accept these Terms. Please read them together with our Refund Policy and Privacy Policy.
1. Who we are
Vouchiva is developed and provided by Patrick Zampol (private individual), Via del Praol 16, 38123 Trento, Italy, email support@vouchiva.com (“Vouchiva”, “we”). “You” means the person or business that downloads, activates or buys Vouchiva.
2. How purchases work (Freemius)
Paid plans are sold through Freemius, Inc. (4023 Kennett Pike, Wilmington, DE 19807, USA), our authorised reseller and Merchant of Record. Freemius processes the payment, charges VAT or sales tax where applicable, issues your invoice and manages your subscription. The payment transaction is also subject to the Freemius Terms of Service. Your licence, the software and our support are provided by us under these Terms.
After purchase you can download the plugin, manage your licences and websites, update your payment method, see your invoices and cancel auto-renewal from the Freemius customer portal (“Customer portal”).
3. Plans, licences and websites
- Free plan. Vouchiva can be downloaded and used free of charge, within the limits of the Free plan shown on the Pricing page.
- Paid plans (Starter, Pro, Agency) unlock higher limits and additional features as described on the Pricing page at the time of purchase.
- Each paid plan includes a licence key that can be activated on the number of websites included in the plan (1, 3 or 10). A website is one WordPress installation on one domain. Local development and staging installations recognised as such by the licensing system do not count towards the limit. You can move a licence from one website to another by deactivating it first.
- The Agency plan may be used on websites you build or manage for your clients, and removes the “Powered by Vouchiva” badge (white label). Licences are personal to the buyer and may not be resold or shared outside the permitted number of websites.
4. Prices, renewals and cancellation
- Prices are shown on the Pricing page in euro, excluding VAT, which is added at checkout where applicable.
- Paid plans are subscriptions billed monthly or yearly, as chosen at checkout, and renew automatically at the end of each period at the price in force for your plan, until cancelled.
- You can cancel auto-renewal at any time from the Customer portal. Your plan then remains active until the end of the period already paid; no partial refunds are given for the remaining time, except as provided in the Refund Policy.
- You can upgrade at any time; the price difference is calculated at checkout.
- We may change our prices for future periods. Changes never affect a period you have already paid for.
5. Refunds and right of withdrawal
Paid plans are covered by our 14-day money-back guarantee, under the conditions of the Refund Policy. If you buy as a consumer resident in the European Union, your statutory rights, including the right of withdrawal where applicable, are described there and are not limited by these Terms.
6. Software licence
The Vouchiva plugin is distributed under the GNU General Public License v2 or later, like WordPress itself. Nothing in these Terms limits the rights granted to you by that licence over the code.
A paid plan gives you, for the duration of your subscription: a licence key that enables the paid features and limits of your plan through our licensing system, access to updates, and support. The Vouchiva name, logo and website content are our property and are not licensed to you, except that you may refer to Vouchiva to describe the software you use.
7. Updates and support
- While your licence is active you receive plugin updates in your WordPress dashboard and email support at support@vouchiva.com.
- Support covers installation, configuration and the use of Vouchiva’s features, and the fixing of defects. It does not include custom development, the customisation of your theme, or problems caused by third-party software or hosting.
- We reply on business days (CET), normally within one business day. Free plan users are supported on a best-effort basis.
- If your paid licence expires or is cancelled, Vouchiva continues to work within the Free plan limits: features and payment methods not included in the Free plan are switched off, but your data, orders and existing vouchers are not deleted, and vouchers already sold can still be redeemed.
8. Your responsibilities
Vouchiva is a tool that you run on your own website. In particular, you are responsible for:
- your website, hosting, backups, WordPress installation and compatibility with your theme and other plugins;
- your accounts with payment providers (Stripe, PayPal, Satispay, your bank) and the fees they charge;
- the vouchers you sell to your guests: their price, validity, terms of use, redemption, and compliance with the consumer, tax and invoicing rules that apply to your business;
- the personal data of your buyers, recipients and staff processed through the plugin, for which you are the data controller (see section 10 of the Privacy Policy);
- keeping your licence key confidential and using Vouchiva lawfully.
9. Warranty and liability
We develop Vouchiva with care and test every release, but software can contain defects and depends on environments we do not control. Vouchiva is therefore provided “as is”, without warranties that it will be error-free, uninterrupted or suitable for every purpose, to the extent permitted by law.
To the extent permitted by law, we are not liable for indirect or consequential losses, such as loss of profits, revenue, data or business, and our total liability arising from these Terms is limited to the amount you paid for your plan in the 12 months before the event giving rise to the claim. These limitations do not apply in cases of wilful misconduct or gross negligence, or where liability cannot be limited under applicable law, and they do not affect the mandatory rights of consumers.
10. Suspension and termination
We may suspend or revoke a licence, after notice where possible, if these Terms are seriously breached — for example in case of licence sharing beyond the permitted websites, fraud or payment charge-backs. You may stop using Vouchiva and cancel your subscription at any time.
11. Changes, governing law and disputes
We may update these Terms, for example when we change our plans or features. The version in force is the one published on this page on the date of purchase or renewal; significant changes will be communicated to active customers by email.
These Terms are governed by Italian law. If you are a business, any dispute is subject to the exclusive jurisdiction of the courts of Trento, Italy. If you are a consumer, you may bring proceedings in the courts of the place where you live, and you keep the protection of the mandatory provisions of the law of your country of residence.
